Smalla Terms of Service

Welcome to Smalla. Please read these Terms of Service carefully before registering an account, submitting an application or using the Services.

These Terms of Service are entered into between you and TETRACK TRADENET LTD (“Smalla”, “we”, “us” or “our”). They apply to the Smalla client application and the account, order enquiry, repayment and customer support services provided through it.

These Terms of Service, the Smalla Privacy Policy and the Product Purchase and Instalment Agreement that you enter into for a specific mobile phone transaction (the “Transaction Agreement”) together form the agreement between you and us. If these Terms conflict with a Transaction Agreement in relation to a particular transaction, the Transaction Agreement will prevail for that transaction.

By selecting “Agree”, registering an account, submitting an application or continuing to use Smalla, you confirm that you have read, understood and agreed to these Terms. If you do not agree, do not register, submit an application or use the relevant Services.

2. The Services

The Smalla client application may allow you to:

  • register, access and manage your Smalla account;
  • view mobile phone purchase or instalment applications, orders and contracts;
  • check amounts due, payment deadlines and repayment status;
  • make repayments through supported payment channels;
  • receive transaction status, account security and essential service messages;
  • submit enquiries, complaints, after-sales requests or account deletion requests; and
  • use other related services that we may make available from time to time.

Available functions may vary depending on your account status, device, service area and eligibility. The Smalla application does not itself change the product price, initial payment, instalment amount, fees, term or repayment obligations stated in your Transaction Agreement.

3. Eligibility

To use the Services, you must:

  • be at least 18 years old and have full legal capacity under Ghanaian law;
  • have authority to enter into and perform these Terms and any relevant Transaction Agreement in your own name;
  • provide true, accurate, complete and current information;
  • use your account and the Services only for lawful personal consumer purposes; and
  • satisfy identity, eligibility and risk checks lawfully conducted by us or relevant service providers.

We may lawfully reject, suspend or terminate an application or account that does not meet the eligibility requirements. This will not release you from any valid payment obligation that has already arisen.

4. Account Registration and Security

You must register using your own accurate information and keep your verification codes, password, login device and other authentication information secure. You must not sell, rent, lend or transfer your account, or allow another person to impersonate you or use your account.

Actions completed through your account will be treated as having been performed by you, except where they result from Smalla’s fault, a security incident within our systems, or unauthorised use that you reported to us promptly.

If your phone, SIM card or login credentials are lost, or you believe your account may have been used without authorisation, contact us immediately. We may temporarily restrict login, payment or other high-risk functions to protect your account.

5. Electronic Applications and Contract Confirmation

Before you confirm a transaction, we will display the relevant product and transaction information through the application or Transaction Agreement, including:

  • the product name, model and main characteristics;
  • the product price and applicable taxes;
  • the initial payment;
  • the instalment principal, fees and total amount payable;
  • the payment frequency, amount of each payment and due dates;
  • the transaction term;
  • the consequences of late payment and measures that may be taken; and
  • delivery, return, refund and warranty conditions.

You must review and correct your information before submitting it. A transaction will only be submitted after you have been given an opportunity to read, save or retrieve the relevant terms and have clearly accepted them by selecting a confirmation button, applying an electronic signature or using another affirmative method.

Submitting an application does not guarantee approval. The application outcome and conditions for the Transaction Agreement to take effect will be stated in the application and the Transaction Agreement.

6. Product Purchase and Instalment Payments

The product, initial payment, instalment amount, payment dates, fees, total amount payable and other core terms for each transaction are set out in the Transaction Agreement presented to and accepted by you before confirmation.

You must make payments in the amounts and by the due dates stated in the Transaction Agreement. You may make early payments where permitted. Whether early payment reduces any fees, and how final settlement is calculated, will be governed by the Transaction Agreement and applicable law.

Except where applicable law, the Transaction Agreement or the refund policy provides otherwise, amounts already applied towards a payment obligation that was due are non-refundable.

7. Payment Methods

You must pay only through authorised payment methods expressly identified in the Smalla application, the Transaction Agreement or our official channels. Available methods may include mobile money, bank services or authorised payment providers.

Unless Smalla expressly authorises it through a formal written channel, do not pay cash to sales personnel, agents or other individuals, and do not transfer money to an unverified account. If anyone asks you to pay a personal account or a payment channel not identified by Smalla, contact us immediately using the details in Section 1.

A payment is completed when it has been confirmed by the payment provider and credited to your Smalla account. Keep your transaction reference and payment evidence. If the payment status appears incorrect, contact Customer Support for verification and do not make a duplicate payment.

8. Late Payment, Service Restrictions and Device Administration

If you do not pay in accordance with the Transaction Agreement, we may, to the extent permitted by law and the Transaction Agreement:

  • send payment reminders;
  • suspend new applications or certain account functions;
  • require payment of amounts that are already overdue;
  • apply limited usage restrictions to the financed device where clearly disclosed in the Transaction Agreement;
  • report qualifying information to a lawfully authorised credit reference bureau; and
  • take other reasonable recovery measures permitted by the Transaction Agreement and Ghanaian law.

Where device-restriction functionality applies to your transaction, its scope, triggering conditions, restoration process and effect on emergency functionality must be separately and prominently disclosed in the Transaction Agreement. We will not delete your personal files or access your private communications solely because a payment is overdue.

After you pay the overdue amount required under the Transaction Agreement and satisfy the applicable restoration conditions, we will restore the relevant functions within a reasonable period. Third-party network or system failures may cause a short delay.

9. Credit Information

Where permitted by Ghanaian law and disclosed in the Transaction Agreement, we may obtain information from or report information concerning your application, payments and defaults to a lawfully authorised credit reference bureau.

We will handle credit information in accordance with applicable law. You may contact us to ask about the relevant category of credit reference bureau, request correction of inaccurate information or raise a dispute.

10. Product Ownership and Administration Functions

The time at which ownership of the product transfers and the rights of each party before final settlement will be governed by the Transaction Agreement and applicable Ghanaian law.

If the product includes device-administration functionality used to perform the instalment transaction, you must not circumvent, damage, remove or tamper with that functionality without authorisation. Device-administration functionality may only be used for activation, payment-status administration, fraud prevention, after-sales support and other lawful purposes expressly described in the Transaction Agreement.

You retain the applicable rights in personal content that you create or store on the product. Smalla retains the applicable intellectual property rights in the application, device-administration software, trademarks and other protected technology.

11. Product Use, Care, Loss and Damage

You must use and care for the product lawfully and reasonably, in accordance with the manufacturer’s instructions. You must not use it for fraud, unlawful activities or infringement of another person’s rights.

Loss, theft or accidental damage does not automatically terminate the payment obligations under the Transaction Agreement. You should promptly report loss or theft to the police and Smalla and follow the relevant Transaction Agreement, warranty or product-protection procedure.

Smalla does not continuously track the location of a lost or stolen product through the client application unless a separate service, lawful basis and specific authorisation have been clearly provided.

12. Delivery, Acceptance, Returns and Refunds

The delivery method, estimated delivery time and acceptance requirements will be stated on the order page or in the Transaction Agreement. Upon receiving the product, you should inspect its model, appearance, accessories and basic functions. Report any incorrect, missing or visibly damaged item to us within [15] days.

Returns, cancellations and refunds are governed by the Transaction Agreement, Smalla’s refund policy and applicable Ghanaian law. Before returning a product, you should back up and remove your personal content, sign out of personal accounts, and return the product and accessories in accordance with the instructions provided by Customer Support.

We may inspect a returned product. The refundable amount, whether remaining payment obligations end, and the treatment of reasonable wear or damage will be determined under the rules disclosed before the transaction, the Transaction Agreement and applicable law.

13. Warranty and After-Sales Support

The product warranty period, coverage and exclusions are stated in the manufacturer’s warranty, the order page and the Transaction Agreement.

If the product develops a defect covered by warranty, contact Customer Support before taking it to a designated service centre. Unauthorised opening, modification or interference with device-administration functionality, liquid damage, impact damage or use contrary to instructions may fall outside free warranty coverage. This does not affect any mandatory rights available to you under applicable law.

You are responsible for backing up your data before repair. Except where data loss results from our intentional misconduct or gross negligence, we are not responsible for data loss caused by an existing device fault during repair.

14. Third-Party Services and Charges

Smalla may use mobile network, payment, SMS, banking or other third-party services. Third parties may charge communication, data, transfer or other fees under their own terms. Unless the transaction page expressly states that such a charge is included, it is separate from the product instalment payments made to Smalla.

The relevant provider is responsible for its third-party service. We will assist in investigating and addressing delays caused by a third-party system outage, but nothing in these Terms excludes liability that cannot lawfully be excluded.

15. Contact Information and Electronic Notices

You must ensure that your mobile phone number, email address and other contact details remain true, complete and current.

You agree that we may send contract-performance, payment, account security, after-sales and legal notices through in-app messages, SMS, email, telephone or another channel selected by you. Marketing messages will only be sent where appropriate consent has been obtained, and you may opt out at any time.

An electronic notice will be treated as sent when it is delivered to the last valid contact information you provided, unless applicable law requires actual receipt or another form of notice.

16. Privacy and Data Protection

We process personal information in accordance with the Smalla Privacy Policy and applicable Ghanaian law. The Privacy Policy explains the information we process, the purposes of processing, recipients, retention periods and your rights.

You may access the current Privacy Policy through the application or Smalla’s official website. These Terms do not constitute consent to unnecessary processing of personal information. Where separate consent is legally required, we will request it separately.

17. Service Suspension, Account Closure and Termination

You may stop using the application or request account deletion. Deleting your account does not automatically cancel an outstanding Transaction Agreement or release you from an existing payment obligation.

We may suspend or terminate the relevant Services to the extent permitted by law where:

  • you seriously or repeatedly breach these Terms or a Transaction Agreement;
  • we have reasonable grounds to believe that the account is connected with identity misuse, fraud, money laundering or another unlawful activity;
  • action is necessary to protect an account, our systems, users or public safety;
  • a law, court or competent authority requires us to act; or
  • the Service or product is lawfully discontinued.

Where reasonably practicable and legally permitted, we will explain the reason and provide an opportunity to appeal or remedy the issue. Provisions concerning payment, intellectual property, liability, dispute resolution and any matter intended by law or its nature to survive will continue after termination.

18. Responsibilities of the Parties

We will provide the Services with reasonable skill and care, take appropriate measures to protect system and transaction security, and process your payments and account records in accordance with the confirmed transaction.

Each party is responsible under applicable law for losses caused by its breach of these Terms, fraud, intentional misconduct or other conduct for which the law imposes liability.

To the fullest extent permitted by law, Smalla is not responsible for delays caused by network outages, payment-system failures, government action, natural disasters or other circumstances beyond our reasonable control. We will nevertheless take reasonable measures to reduce their effects.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, personal injury, breach of mandatory consumer-protection duties or any liability that cannot lawfully be excluded.

19. Complaints and Dispute Resolution

Please provide your name, account or order number, a description of the issue and relevant evidence. We will acknowledge the complaint and aim to respond within [15 business days]. Complex matters may require additional time, in which case we will provide a progress update.

The parties should first attempt to resolve a dispute through good-faith discussion. If the dispute is not resolved, either party may use any applicable regulatory complaint process, alternative dispute-resolution procedure or court process.

20. Governing Law and Jurisdiction

These Terms are governed by and interpreted in accordance with the laws of the Republic of Ghana.

Without limiting your right to complain to a competent regulator or use any other remedy available by law, disputes relating to these Terms may be brought before a court of competent jurisdiction in Ghana.

21. Changes to These Terms

We may update these Terms because of legal, regulatory, functional or business changes. Before a material change takes effect, we will notify you through the application, SMS, email or another appropriate method and state its effective date.

A change that has a material adverse effect on an existing Transaction Agreement will not apply retrospectively unless permitted by law or separately accepted by you. Where the law requires consent to a change, we will obtain your affirmative consent before it takes effect.

22. General Provisions

You may not transfer your rights or obligations under these Terms or a Transaction Agreement without Smalla’s prior written consent.

We may transfer relevant rights or obligations to an affiliate, financing institution or business successor, provided that your contractual rights are not reduced and you are notified as required by law.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect. A delay in exercising a right does not waive that right.

These Terms are provided electronically. You must be able to read, save and reproduce them before acceptance and review and correct input errors before submitting a transaction.
